Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Modish Global Inc., a Nevada C-Corp ("Modish," "we," "us," or "our"), governing your access to and use of the Modish.Ai™ iOS application, the 3D Transformative Digest™ digital publication, the DesignVault 3D™ render library, the Modish.Ai Federal Division website at modish.ai, and all related services (collectively, the "Services").

By accessing or using the Services, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.

Modish Global Inc. operates a licensing-first, AI-powered architectural visualization and media infrastructure platform. Our Services include the following:

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration; maintain and promptly update your account information; keep your password confidential and not share it with any third party; notify us immediately at [email protected] of any unauthorized use of your account; and accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or engage in fraudulent or abusive behavior.

4.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis via Stripe, Inc. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for all applicable fees.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period — you will retain access through the period you have paid for. We do not provide prorated refunds for partial periods, except where required by applicable law.

4.4 Price Changes

We reserve the right to modify subscription pricing with 30 days' advance notice. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.

4.5 Taxes

Prices are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Services.

5.1 Ownership

All content, technology, software, renders, designs, publications, and materials available through the Services — including but not limited to the DesignVault 3D™ library, Cinematic Intelligence™ methodology, Modish.Ai™ application, and 3D Transformative Digest™ — are the exclusive property of Modish Global Inc. and/or Modish.Ai LLC (Delaware), our IP entity. All rights are reserved. The Cinematic Intelligence™ name and methodology, Modish.Ai™, 3D Transformative Digest™, and DesignVault 3D™ are proprietary marks of Modish Global Inc. Unauthorized use of these marks is strictly prohibited.

5.2 License to Users

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include reselling, sublicensing, or redistributing any content or renders without an enterprise white-label license agreement; reverse engineering, decompiling, or disassembling any software component; using our AI outputs to train competing AI models; or removing any proprietary notices, watermarks, or attribution.

5.3 User Content

If you submit content to the Services (such as uploaded images for rendering), you retain ownership of your original content. By submitting content, you grant Modish Global Inc. a limited, royalty-free license to process and use that content solely for the purpose of providing the requested Services. We do not claim ownership of your uploaded images and will not use them for any purpose beyond service delivery without your consent.

5.4 ISSN-Accredited Publication

The 3D Transformative Digest™ is an ISSN-accredited publication. Reproduction, redistribution, or republication of any portion of the Digest without written permission from Modish Global Inc. is prohibited. Licensing inquiries should be directed to [email protected].

You agree not to use the Services for any unlawful purpose; attempt to gain unauthorized access to any portion of the Services; upload or transmit malicious code or harmful content; engage in any activity that interferes with or disrupts the Services; scrape or systematically extract data without written permission; impersonate any person or entity; use the Services to compete directly with Modish Global Inc. without a valid enterprise license; circumvent any access controls or subscription paywalls; or use AI-generated outputs from the Services to misrepresent the origin of architectural designs in federal procurement submissions.

Modish Global Inc. is a SAM.gov-registered federal contractor. Government agencies and contractors accessing the Services for federal procurement purposes are subject to the following additional terms: all deliverables are provided under the applicable federal contract terms and conditions; use of Cinematic Intelligence™ outputs in federal submissions must include appropriate attribution as specified in the applicable contract; government rights in technical data and computer software are governed by DFARS 252.227-7013 and FAR 52.227-14, as applicable; and Modish Global Inc. maintains DOBE (Disability-Owned Business Enterprise) certification.

You agree to indemnify, defend, and hold harmless Modish Global Inc., Modish.Ai LLC, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Services.

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your license to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new effective date and, where appropriate, by sending an email notification. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

Entire Agreement. These Terms, together with our Privacy Policy and any applicable enterprise license agreements, constitute the entire agreement between you and Modish Global Inc. regarding the Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
